Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Retailgrow platform, including the Retailgrow mobile application and related services ("Retailgrow" or the "Platform"), operated by Zepcure Biotech Private Limited ("Zepcure", "we", "us" or "our"). By accessing or using Retailgrow, you agree to be bound by these Terms.

1. Nature of the platform

Retailgrow is a business-to-business (B2B) ordering platform that enables eligible pharmacies, retailers and other approved entities ("Users" or "you") to place orders for pharmaceutical and FMCG products and arrange for delivery to their business premises.

Retailgrow is not intended for use by individual consumers or for personal retail purchases. All transactions on the Platform are B2B transactions subject to applicable commercial arrangements and laws.

2. Eligibility and account

• You must be a duly authorised representative of a business entity to create and use an account on Retailgrow.
• You are responsible for ensuring that all information provided during registration and use of the Platform is accurate, complete and kept up to date.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• We may request documents or information to verify your eligibility (for example: licences, registrations, tax details) and may approve or reject onboarding at our discretion.

3. Orders and fulfilment

• When you place an order through Retailgrow, you are making a B2B request for products, subject to stock availability, delivery feasibility and applicable commercial terms.
• Prices, taxes, delivery charges and other commercial details will generally be displayed at or before order confirmation, but may be subject to change in accordance with applicable law or notified commercial arrangements.
• Order acceptance, modification and cancellation are subject to our internal policies and operational constraints. In some cases, we may contact you to confirm or clarify order details.
• Delivery timelines shown in the Platform are indicative and may vary due to logistics, regulatory, operational or other constraints.

4. Returns, refunds and wallet

Returns and refunds are governed by the applicable Refund Policy as updated from time to time. Broadly:

• Only certain products or orders may be eligible for return or refund, subject to quality, regulatory and operational guidelines.
• Approved refunds are typically credited to your Retailgrow in-app wallet, which can be utilised for eligible future orders.
• Specific conditions, limits or expiries may apply to wallet balances, as described in the Refund Policy or otherwise communicated to you.

5. Use of the platform

You agree that you will:

• Use Retailgrow only for lawful B2B purposes related to your business.
• Comply with all applicable laws, regulations and industry guidelines, including those governing pharmaceutical products.
• Not misuse, interfere with, or attempt to gain unauthorised access to any part of the Platform or related systems.
• Not engage in any activity that may harm the reputation or operation of Retailgrow or Zepcure.

6. Intellectual property

All rights, title and interest in and to the Retailgrow Platform, including its content, branding, design, software and underlying technology, are owned by or licensed to Zepcure and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Platform solely for your authorised B2B purposes.

7. Disclaimers

To the maximum extent permitted by law, Retailgrow and any content made available through it are provided on an "as is" and "as available" basis. Without limiting the foregoing:

• We do not guarantee uninterrupted or error-free access to the Platform.
• Product information displayed on the Platform is for general guidance and may be subject to change; you are responsible for verifying any critical details.
• We do not provide medical or clinical advice through the Platform.

8. Limitation of liability

To the extent permitted by applicable law, Zepcure and its directors, officers, employees and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenues, data or business opportunities, arising out of or in connection with the use of Retailgrow.

9. Suspension and termination

We may suspend or terminate your access to Retailgrow (in whole or in part) with or without prior notice if we reasonably believe that:

• You have breached these Terms or any applicable policy.
• Your continued access may cause harm, risk or disruption to the Platform or other Users.
• We are required to do so by law, regulation or a competent authority.

10. Privacy

Our handling of information in connection with Retailgrow is described in the Privacy Policy. By using the Platform, you acknowledge that your information will be processed in accordance with that policy, as updated from time to time.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will generally be notified by updating the "Effective date" above and/or by providing an in-app notice where appropriate. Your continued use of Retailgrow after such changes will constitute your acceptance of the updated Terms.

12. Governing law and dispute resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Subject to applicable law, you agree that any disputes arising out of or in connection with Retailgrow or these Terms shall be subject to the jurisdiction of the competent courts located in Haryana, India, unless otherwise agreed in writing.
